By accessing or using the Cubby application ("Cubby"
or the "Service"), you agree to be bound by these
Terms of Service ("Terms") and our Privacy Policy. If
you do not agree to these Terms, do not use the Service.

1. Product Overview. Cubby is an AI-powered
desktop app for macOS designed to help users take notes, track
agendas, transcribe conversations, and generate summaries and
tasks. The Service is currently offered in a free, invite-only
private beta for feedback and evaluation purposes.
2. Beta Use and Eligibility.

Cubby is provided on an as-is, as-available, and experimental
basis.

We may modify, suspend, or terminate any aspect of the Service
at any time without notice.
- Access may be revoked at our discretion.

You may use Cubby solely for personal or internal business
purposes during the beta period.

You must be at least 18 years of age to use the Service.
3. Acceptable Use. You agree to:
- Use the Service only for lawful purposes.

Comply with local laws and obtain any required consent for
meeting recordings.

Respect your organization’s internal policies regarding AI,
transcription, or note-taking tools.

Refrain from submitting highly sensitive personal information
(such as financial data, government identifiers, or protected
health information) for processing by third-party AI features
during this experimental beta.
You may not:

Reverse-engineer, scrape, or attempt to derive the source
code.

Use the Service in violation of intellectual property or data
privacy rights.
4. Content Ownership and Feedback.

You retain full ownership of the content you create using
Cubby. All meeting notes, transcripts, and summaries are
stored locally on your device.

If you voluntarily share content (e.g., via support or
feedback), you grant Cubby a limited, royalty-free license to
use anonymized content, from which we have removed personal
identifiers, to improve the Service.
- Shared content is not used to train AI models.

Feedback and suggestions you provide may be used by Cubby
without compensation or obligation.
5. AI and Third-Party Services. Cubby uses
third-party AI services (such as Google Gemini and Deepgram) to
process meeting content. When used, small data segments or audio
snippets may be transmitted to these providers’ servers for
summarization and transcription. Cubby does not retain this
data.

For summarization and task detection, Cubby uses the Google
Gemini API. According to Google, inputs and outputs are not
used for training and are deleted after a short retention
period (up to 30 days).

For transcription, Cubby uses Deepgram. Cubby explicitly opts
out of Deepgram’s Model Improvement Program, which means
submitted audio is not used for training and is deleted after
processing. Logs of usage data may be retained by Deepgram for
up to 90 days.
No persistent identifiers are included in either request.
Transmission is encrypted. Use of these services is governed by
their respective terms:
6. Analytics. Cubby uses Amplitude to collect
pseudonymous usage data to improve the product. No personal
meeting content is included, and no identifiable user
information (like names or emails) is tracked.
7. Disclaimers and Limitation of Liability.

Cubby is provided without warranties of any kind. We do not
guarantee accuracy, availability, or reliability.

To the maximum extent permitted by law, Cubby’s total
liability for any claim shall not exceed $100.

Cubby is not liable for indirect, incidental, or consequential
damages.
8. Indemnification. You agree to indemnify and
hold harmless Sophosphere Inc. and its affiliates, officers, and
employees from any claims, losses, or damages arising from your
use of the Service or violation of these Terms.
9. Changes to Terms. We may update these Terms
as the product evolves. Material changes will be communicated
through the app or our website. Continued use after updates
constitutes acceptance.
10. Governing Law. These Terms are governed by
the laws of the State of Delaware, without regard to its
conflict of law principles. All disputes shall be resolved in
the state or federal courts located in Wilmington, Delaware.
